You agree to indemnify, defend, and hold harmless Doi Canopy, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms and Conditions, or your violation of any rights of third parties.

3. Data Protection Responsibilities

If you receive personal information about Thai coffee producers or other parties through our services, you agree to handle such information in compliance with applicable data protection laws and our Privacy Policy. You will not use this information for purposes other than those related to the coffee sourcing relationship facilitated by Doi Canopy.

4. Third-Party Interactions

While we facilitate connections with Thai coffee producers, you acknowledge that your ultimate business relationships and transactions with these producers are between you and them. We are not a party to these relationships and are not responsible for the actions, products, or services of these third parties. You assume all risks associated with such interactions and transactions.

Disclaimers and Limitation of Liability

1. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• 1.1 Warranties of merchantability or fitness for a particular purpose
• 1.2 Warranties regarding the accuracy, reliability, or completeness of information
• 1.3 Warranties that our services will be uninterrupted, error-free, or secure
• 1.4 Warranties regarding specific business outcomes or coffee quality

2. Limitation of Liability

To the fullest extent permitted by applicable law, Doi Canopy, its officers, directors, employees, and agents shall not be liable for:

• 2.1 Any indirect, incidental, special, consequential, or punitive damages
• 2.2 Loss of profits, revenue, data, or business opportunities
• 2.3 Damages resulting from third-party actions, including coffee producers
• 2.4 Damages arising from quality issues, crop failures, or market fluctuations
• 2.5 Damages exceeding the amount you paid to Doi Canopy in the six months preceding the claim

3. Exclusion of Consequential Damages

Under no circumstances shall Doi Canopy be liable for any consequential or incidental damages arising from your use of our services, regardless of whether such damages were foreseeable. This includes, but is not limited to, damages from business interruption, lost business relationships, or reputation harm.

4. Force Majeure

We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, weather events affecting coffee harvests, political instability, pandemics, government actions, labor disputes, telecommunications failures, or other acts of God. This force majeure clause applies both to our direct obligations and to our ability to facilitate producer relationships.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Chiang Mai, Thailand, though we retain the right to seek injunctive or other equitable relief in any jurisdiction.

2. Dispute Resolution Procedures

In the event of any dispute, claim, or controversy arising from or relating to these Terms and Conditions or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations do not resolve the dispute within thirty days, either party may pursue formal legal proceedings. Both parties retain the right to seek emergency or interim relief from a court of competent jurisdiction when necessary to preserve rights or prevent irreparable harm.

3. Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions. The parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision to the extent possible.

4. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Doi Canopy regarding your use of our website and services, and supersede all prior communications, understandings, or agreements, whether written or oral.

Doi Canopy reserves the right to modify, amend, or update these Terms and Conditions at any time without prior notice. Material changes may be communicated through prominent notice on our website or via email if we have your contact information.
